FAQ
Where can I find all current Idaho Secretary of State business forms?
Current Idaho business registration forms are published on the Business Forms page. The page is organized by domestic entities, domestic partnerships, business names, foreign entity registrations, and non-registered entity filings.
Online filing is handled through SOSBiz, while the paper forms page provides the direct downloadable business filing documents.
The controlling fee schedule for the filings covered here appears in Title 30, Chapter 21 of the Idaho Code.
Is the registered agent consent form required to be filed with the Idaho Secretary of State?
Idaho does not publish a standalone general registered agent consent form for LLCs, corporations, LPs, LLPs, or foreign registrations in the current forms set.
Consent is embedded in the filing itself. Formation, registration, and change documents contain the registered agent designation, and the general change form requires the newly appointed agent to sign when a new agent is being named.
For an unincorporated nonprofit association, the agent’s consent appears on the filed document through the agent signature line on Unincorporated Nonprofit Association Appointment of Agent for Service of Process and Unincorporated Nonprofit Association Change or Termination of Registered Agent for Service of Process.
What form is used to change a registered agent in Idaho?
For corporations, LLCs, LPs, and LLPs, the form is Statement of Change of Registered Agent, Registered Office, or Both. The filing fee is $0.00 online or $20.00 on paper.
For an unincorporated nonprofit association, the form is Unincorporated Nonprofit Association Change or Termination of Registered Agent for Service of Process. The filing fee is $50.00 on paper.
Filings may be submitted online through SOSBiz, by mail to Idaho Secretary of State, P.O. Box 83720, Boise, ID 83720-0080, or in person at 700 W. Jefferson Street, Room E205, Boise, ID 83702. Business Services Division phone: (208) 334-2301.
What is the difference between the entity-filed change form and the agent-filed change form in Idaho?
The entity-filed form is Statement of Change of Registered Agent, Registered Office, or Both. It is used by the entity to appoint a new registered agent, change the registered office, or make both changes in one filing.
The instructions to that same form state that a registered agent may sign and file it only to change the address of the registered office without an officer, member, manager, or general partner signature. When the filing changes the registered agent, the new registered agent must sign, and the entity must also sign.
Idaho’s current published business forms do not show a separate direct-document self-change form for an ordinary registered agent’s own name or address, so there is no verified separate agent-filed form to compare against the entity-filed form.
Is there a fee to form a nonprofit corporation in Idaho?
Yes. Articles of Incorporation (Non-Profit) cost $30.00 online or $50.00 on paper.
That fee is lower than the fee for a for-profit corporation. Articles of Incorporation – General Business cost $100.00 online or $120.00 on paper.
The controlling fee schedule is published in Title 30, Chapter 21 of the Idaho Code, and the current official Idaho materials do not identify a separate online convenience fee for these filings.
What forms are used to register an out-of-state LLC in Idaho?
An out-of-state LLC registers by filing the Foreign Registration Statement. The filing fee is $100.00 online or $120.00 on paper.
The form requires the LLC to designate an Idaho registered agent and Idaho street address. The current form instructions also require a certificate of existence or certificate of good standing dated within 90 days before filing.
What forms are used to form or register a partnership in Idaho?
A domestic limited partnership is formed by filing Certificate of Limited Partnership at $100.00 online or $120.00 on paper. That filing creates the LP as a new entity and requires a registered agent designation.
Idaho recognizes the LLLP, but it uses the same Certificate of Limited Partnership with the limited liability limited partnership election completed rather than a separate LLLP formation form. A foreign LP or foreign LLLP uses the Foreign Registration Statement at $100.00 online or $120.00 on paper, and no dual-filing requirement appears on the current official materials.
A domestic partnership seeking LLP status files Statement of Qualification of Limited Liability Partnership at $100.00 online or $120.00 on paper. That filing does not create a new partnership; it registers limited liability status for an existing partnership.
Idaho also publishes a Statement of Partnership Authority at $100.00 online or $120.00 on paper. That filing is available for a general partnership, but it does not require a registered agent and instead lists all partners or an Idaho agent who maintains the partner list.
Can I file Idaho SOS forms online?
Yes. Idaho’s online filing system is SOSBiz, and the current Secretary of State materials state that most business filings can be completed there.
An SOSBiz account is required to file business forms, annual reports, amendments, and related filings online.
The current official Idaho materials do not identify a separate online convenience fee for the business entity filings covered here. Many paper forms state that optional expedited service adds $40.00 and optional same-day service adds $100.00 when those services are offered for the filing.
